These Terms and Conditions apply to all services provided by Richmond Services GmbH to its customers.
These Terms and Conditions apply to all contracts between Richmond Services GmbH (referred to as "we" or "contractor") and its customers (referred to as "you" or "client") relating to the creation, modernisation and support of websites as well as other digital services. Deviating or supplementary agreements must be made in writing.
Our offers are non-binding. Enquiries submitted via the website do not constitute a binding order. A contract comes into effect only upon written order confirmation or your acceptance of a quote. Scope, timelines and costs are set out in the respective quote.
The scope of services results from the quote and the respective agreement. Services not expressly agreed are considered additional work and are charged separately. Change requests after order confirmation may affect timelines and costs and are agreed with you in advance.
You provide us in good time with all information, content, texts, images and access data required to perform the services. You confirm that the content you provide does not infringe the rights of third parties. You are responsible for the accuracy and legality of the content provided.
Deadlines are set out in the quote or project plan. Deadlines require the client's timely cooperation. Delays caused by the client's failure to cooperate may lead to a corresponding adjustment of timelines.
Prices are based on the respective quote and are stated in Swiss francs. Any VAT is shown in accordance with statutory provisions. Unless otherwise agreed, the following payment terms apply:
After full payment of the agreed remuneration, you receive the rights required for the agreed use of the works created for you. Rights to templates, libraries or tools that we use remain with us or the respective rights holders. Unless otherwise agreed, the source code remains with us.
Where third-party domain and hosting services are used, the rights and obligations are governed by the respective providers' terms. Arrangements for domain and hosting are set out in the quote where relevant. We accept no liability for outages or changes on the part of third-party providers.
We provide our services with customary care. Defects must be reported to us promptly and in a comprehensible manner. We remedy justified defects within a reasonable period under the agreed terms. To the extent permitted, any further warranty is excluded under Swiss law.
Liability is governed by the applicable statutory provisions. To the extent legally permissible, liability for slight negligence is excluded. In particular, we accept no liability for specific search engine results, for outages of third-party providers, or for damages arising from content you provide.
Both parties undertake to keep the other party's confidential information secret. The processing of personal data is governed by our privacy notice.
Agreements may be terminated by either party with reasonable notice unless otherwise agreed. Services already provided and costs incurred remain payable.
Swiss law applies, excluding conflict-of-law provisions. To the extent legally permissible, the place of jurisdiction is [location – to be added by management].
We reserve the right to amend these Terms. For existing agreements, the terms agreed at the time of contract conclusion apply.
